Support for corporate restructurings

Realignment of strategy, sales, operational processes and organisational structure

‘Crisis can be a productive state. You just have to take away the flavour of disaster.’

Max Frisch
Swiss writer and architect, (1911 – 1991)

Corporate restructuring is a complex process that has a profound impact on your entire company. This makes a systematic approach with detailed analyses and courageous implementation while at the same time safeguarding the company indispensable. Only if this is successful is a strategic and operational reorganisation possible.

Whether you are facing an acute crisis or are generally striving to reflect on and optimise your company: We accompany you as consultants on the path to corporate restructuring. From the strategic and process-oriented side to sales activation and cost reduction through to the process-supporting organisational structure and the appropriate corporate form, we apply our expertise in a targeted manner to successfully implement your restructuring.

Our corporate restructuring services

Strategy & processes

We help you to review and, if necessary, optimise your strategies and break up desolate processes in order to initiate a profound change in your company. This requires a leap into two dimensions of change management: the change to a new target state must be realised and the further ability to change must be implemented. In particular, we help you to move towards a market-orientated product range and to activate sales. We also support you in reducing costs effectively in the short term.

Financing structure

The financing structure and the resulting financial burden and flexibility of the company have a significant influence on the success of restructuring projects. At the beginning of every restructuring project, we review the financing structure and look for realisable improvements. Sources of short-term improvements can be forms of internal financing or debt rescheduling. We swiftly tap such sources together with our clients.

Organisational structure

The organisational structure must support the processes in the best possible way. Short decision-making channels and effective leadership are essential prerequisites for necessary changes and successful reorganisation. For this reason, the organisational structure can only be designed sensibly once the target processes have been defined. The functions from which jobs can be derived are derived from the process steps – not the other way round.

Company form

The company form depends less on the company’s activities and more on the shareholder structure and the tax framework on the shareholder side. The owner strategy, which must be clearly distinguished from the corporate strategy, certainly has an influence on the corporate form of the company, which should be critically scrutinised as part of a corporate restructuring in order to exploit the full potential of the realignment.

Why corporate restructuring becomes necessary

There are various reasons why a company needs to be restructured. In most cases, a crisis is at the beginning of such an endeavour, which can arise from different areas and therefore also have different objectives:

  • Preventive: Ideally, restructuring measures are implemented before a specific crisis becomes apparent.
  • Liquidity crisis: At the latest when a company is in danger of becoming insolvent, acute countermeasures must be taken to avoid insolvency.
  • Profit and sales crisis: If costs, particularly material, personnel and energy costs, rise but cannot be offset by price increases or scaling, margins shrink and lead to a profit deficit.
  • Structural crisis: Companies experiencing a sales and earnings crisis generally lack competitive and market-orientated products. This shortcoming is often caused by unsuitable processes and decision-making structures.
  • Strategic crisis: If a company is no longer competitive, this can often be attributed to a misguided strategic intention and an inappropriate business model. A strategic readjustment requires the ability to make decisions and take action.
  • Shareholder-stakeholder crisis: If shareholders no longer adhere to an appropriate course of action, there is disagreement among the shareholders and the shareholders are unable to make decisions, possibly due to outdated articles of association, this leads to conflicts with the management and blocks the company’s development.

How we implement the restructuring in your company

With our restructuring support, we adapt to the specific crisis phase in which your company finds itself. In any economic crisis, quick and courageous action is crucial to the survival of the company. Short-term financial measures are given absolute priority before we turn our attention to short-term performance measures.

This buys the company the time in which we can develop and introduce a finely tuned bundle of medium to long-term effective measures. Using appropriate simulations and planning games, we always ensure that your company remains financially secure throughout the entire process. Finally, we help to set up and implement early warning systems that make future signs of crisis recognisable at an early stage.
